Trade Secrets

A Trade Secret is intellectual property that is protected by keeping it secret. Trade secrets can be used when the material is not protected by other means or when it is desired to not disclose the information. As long as it is kept secret or confidential, it is protected; however, others are not precluded from developing and using the secret themselves.

In order to maintain a trade secret, the trade secret must be kept confidential. Notice must be given to authorized recipients that the information is a trade secret, and measures must be taken to limit and control the access to the trade secret.

It is very important to follow procedures that are implemented in protecting the trade secret. By not following procedures, it is implied that the information is not really a trade secret; otherwise, the procedures would be followed to protect it.

If others outside the organization need access to the trade secret to conduct business, it is necessary to have them sign secrecy or confidentiality agreements. These agreements bind others to keeping the trade secret confidential.
